Terms of Service

1. Agreement

Grove is a service of Infruition LLC, a Tennessee limited liability company. These Terms of Service ("Terms") govern your access to and use of Grove, a software service provided by Infruition LLC ("Infruition", "we", "us"). By creating an account or by using Grove, you agree to these Terms on behalf of yourself and any organization you represent. If you do not agree, do not use the service.

2. Eligibility and accounts

Grove is intended for use by businesses and the people they authorize. You must be at least 18 years old, capable of forming a binding contract, and not barred from using the service under applicable law. You are responsible for maintaining the confidentiality of your authentication credentials and for every action taken from your account. You will notify us promptly at hello@infruitionmarketing.com if you suspect any unauthorized access.

3. Acceptable use

You agree not to: (a) reverse engineer, decompile, or attempt to derive the source code of Grove except where this restriction is unenforceable under applicable law; (b) interfere with or disrupt the service, the underlying infrastructure, or other customers; (c) use automated tools to extract data from Grove at a rate or volume that materially affects service availability; (d) use Grove to violate any law, infringe intellectual property rights, or transmit malicious code; (e) misrepresent your identity or affiliation; or (f) circumvent any access control or authentication mechanism.

4. Amazon Ads API and other connected services

Grove reads and writes data on your behalf through the Amazon Ads API and may, in the future, do the same through the Amazon Selling Partner API. You authorize Infruition to act on your behalf within the scopes you grant during the Login with Amazon authorization flow, and you confirm that you have the right to grant that authorization. You agree to comply with the Amazon Ads API License Agreement, the Amazon Ads API Terms of Use, and the Amazon Acceptable Use Policy while using the relevant parts of Grove. You acknowledge that Amazon may suspend, throttle, or revoke API access independently of Infruition.

5. Customer data and your rights in it

As between you and Infruition, you retain all rights, title, and interest in the data you upload, connect, or generate while using Grove ("Customer Data"). You grant Infruition a worldwide, royalty-free license to host, store, process, and transmit Customer Data solely as needed to provide and improve the service for you. You represent that you have the right to grant that license and that the Customer Data will not violate any law or third-party right.

6. AI features

Grove includes AI-assisted features powered by large language model providers (currently OpenAI and Anthropic). These features send a minimal subset of your account's data — never buyer personally identifiable information — to the model provider for inference. AI outputs are computed automations and suggestions; they are not professional advice, legal advice, tax advice, or guaranteed business outcomes, and Grove may produce results that are incomplete or incorrect. We classify every AI-driven action by impact tier. Read-only and low-impact analytical actions run automatically; routine writes within prudent caps run automatically with full audit logging; and high-impact actions — including any price change greater than 20% in a rolling 24-hour window, bulk operations affecting more than 500 ASINs, account-level configuration changes, brand registry actions, FBA inbound or removal orders, and payout or settlement changes — require your explicit approval through an in-app queue before they are executed. You remain responsible for reviewing AI outputs and for the actions taken in your Amazon account. We maintain a kill switch to halt all AI activity immediately. We do not authorize AI providers to use your data to train or fine-tune their models. You may request to disable AI features at any time by emailing hello@infruitionmarketing.com.

7. Fees

If your plan is a paid plan, fees, billing cadence, and renewal terms are stated at the time of purchase. Fees are non-refundable except where required by law or where Infruition expressly states otherwise in writing.

8. Suspension and termination

You may stop using Grove at any time and may request deletion of your account by emailing hello@infruitionmarketing.com. We may suspend or terminate access immediately if we reasonably believe you have violated these Terms, if our security or another customer's security would otherwise be put at risk, or if required by law. We will provide notice when reasonably possible. On termination, your right to use the service ends; we will retain or delete data per the Privacy Policy.

9. Disclaimers

Grove is provided "as is" and "as available". To the maximum extent permitted by law, Infruition disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment, and any warranty that the service will be uninterrupted or error-free. Grove does not guarantee any particular advertising result.

10. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, lost profits, lost revenues, lost data, or business interruption, even if advised of the possibility. Each party's total liability under these Terms in any twelve-month period is limited to the greater of the fees paid by you to Infruition during that period or one hundred United States dollars. These limits apply notwithstanding the failure of essential purpose of any limited remedy.

11. Indemnification

You will defend, indemnify, and hold harmless Infruition and its personnel from any third-party claim arising from (a) your Customer Data, (b) your use of Grove in violation of these Terms or applicable law, or (c) your breach of any representation in these Terms. Infruition will defend, indemnify, and hold you harmless from any third-party claim that the service, as provided by Infruition and used in accordance with these Terms, infringes that third party's intellectual property rights, subject to the limitation of liability above.

12. Governing law and dispute resolution

These Terms are governed by the laws of the United States and the State of Tennessee, excluding its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for any dispute that is not subject to mandatory arbitration under applicable law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13. Changes to these Terms

We may update these Terms. Material changes will be announced by email to active accounts and posted at this URL with a new effective date. Continued use after the effective date constitutes acceptance.

14. Miscellaneous

These Terms, together with the Privacy Policy and any order form, are the entire agreement between you and Infruition regarding Grove. If any provision is held unenforceable, the remaining provisions remain in effect. A failure to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent; Infruition may assign them in connection with a merger, acquisition, or sale of all or substantially all assets.
